These are our terms in plain English: clear, honest, and written by songwriters for songwriters!

Songbay is here to provide a safe, fair, creative, and enjoyable service for people who love songs and lyrics. To use Songbay, you must own, or have full permission to use, anything you upload or submit, including songs, lyrics, images, names, and information.

Please behave reasonably, respectfully, and constructively towards our team and other users; plagiarism, spamming, misuse of features, offensive behaviour, or engaging with the service in a way that undermines its purpose may result in us very quickly saying “Goodbye!”

We reserve the right to decide who can join, remain a member, publish work, or use our services, and we may restrict access, decline uploads, suspend accounts, or refund and close accounts if we decide that Songbay is clearly not the right fit, particularly where users do not abide by our terms, misuse the service, or engage with us or other users unreasonably or discourteously.

Subscriptions have no tie-ins and can be cancelled at any time. Support can confirm when cancellation takes effect and when paid features and public promotion will end. Each account is for one individual only and must not be shared, transferred, or used by teams, companies, or agencies.

We take privacy and security seriously, never sell your data, avoid intrusive third-party advertising, and ask that you keep proper backups and never upload the only master copy of your work.

Like all online services, technical issues and billing errors can occasionally happen, so please contact us politely if this happens, and check our FAQs and instruction videos first, as most questions are already answered there. Support requests should always be directed to our help desk at https://support.songbay.co. We do not generally offer phone support; our support team works through the help desk because this is the most effective way for us to track, investigate, and resolve customer enquiries. Our normal support response time is within 24 hours. Songbay is a feature-rich service best experienced on a desktop or laptop, and some tools require patience and practice.

We may publish selected public information about Songbay at our discretion, but we do not disclose private commercial, operational, user-activity, buyer, licensing, copyright, AuthentiTrack, support, or performance data to users or third parties.

Once you publish work online, including on Songbay, it becomes publicly visible and may be copied or misused by others outside our control; we provide tools and guidance to help protect your work, but we cannot police the wider internet.

Songbay offers many creative and practical tools, including publishing, copyright protection, collaboration, networking, AuthentiTrack, profile pages, and opportunities for licensing or selling songs and lyrics. Licensing and sales are only one part of what we do. We cannot guarantee that any work will sell, be licensed, or attract interest within any particular timeframe. Some users receive interest quickly, some after a long period of time, and some not at all. Membership should therefore be understood as access to the Songbay platform and its features, not as a guarantee of sales or income.

Songbay is a UK-based company governed by UK law, and above all, politeness matters: we are musicians and composers, not machines, and courtesy helps everything run more smoothly.

That was the 'plain English' version, and now the long formal jargon version! :)

These Terms apply to Songbay accounts and use of the Songbay website, marketplace, subscriptions, publishing, collaboration, Copyright Protection, AuthentiTrack and related services. Product-specific terms shown before an order also form part of the relevant contract.

1. About Songbay and these Terms

Songbay is a specialist platform for songs, lyrics, recordings and related creative rights. Some pages can be browsed publicly. An account is required for interactive, publishing and marketplace functions.

By creating or using an account, you agree to the version of these Terms presented to you. Public browsing alone does not amount to acceptance of new contractual terms where acceptance is legally required.

If product-specific terms conflict with these general Terms, the product-specific terms apply to that transaction. Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded or limited.

2. Age, capacity and accounts

You must be at least 18 years old to create or use a Songbay account or to buy, sell, license, assign rights, subscribe, receive a payout or use interactive contact features. By registering, you confirm that you are at least 18 and have legal capacity to enter the agreements you make.

An account is for one individual and must not be shared or transferred. If you act for a business or another rights-holder, you confirm that you have authority to bind them and submit the relevant content or transaction.

You must provide accurate information, keep relevant details current, protect your credentials and tell Songbay promptly through Support if you suspect unauthorised access. You are responsible for activity using your account except to the extent caused by Songbay or where applicable law provides otherwise.

Songbay may restrict an account while investigating a credible age, authority, identity, payment, security or safety concern. Where appropriate and lawful, Songbay will explain the action and provide a review route.

3. What Songbay provides

Songbay provides access to platform features, not a guarantee of sales, licences, income, audience, collaboration or any particular result. Availability and entitlements depend on the product or subscription purchased.

Songbay may maintain, improve, replace or withdraw features. For material adverse changes to a paid service, Songbay will give proportionate notice where practicable and will respect rights and remedies that cannot lawfully be excluded.

Keep your own backup copies. Do not upload the only master copy of a work.

4. User content and rights

“User Content” includes songs, recordings, lyrics, artwork, profile material, descriptions, messages, links and other material a user submits, uploads, publishes or sends through Songbay.

You retain the rights you hold in your User Content. You confirm that:

1. you own the relevant rights or have all permissions required to use, submit, publish, license or sell the content;
2. your information and declarations are accurate and not misleading;
3. the content and your proposed use do not infringe another person’s rights or breach applicable law;
4. all co-writers, performers, producers, publishers, collecting societies and other interested parties have been dealt with where relevant; and
5. you will make every required disclosure about the creation and rights status of the content.

AI-assisted and AI-generated uploads

When offering a song or recording for sale or licensing, you must accurately classify it as using no AI, being AI-assisted, or being AI-generated. If AI was used, you must identify the provider. You must not misstate or conceal material AI use.

For every such upload, you confirm that:

1. the lyrics are original to you or you are authorised to use them;
2. you have all rights and permissions needed to upload, advertise, license and sell the exact song and recording, including the music, vocals, samples, recordings and artwork;
3. where AI was used, the provider’s terms and your account or subscription tier permit the commercial activity you propose;
4. the content contains no unauthorised copyrighted material, voice clone, identity misuse, artist impersonation or other impersonation; and
5. you will provide reasonable evidence supporting these statements if Songbay receives a credible rights, impersonation or fraud complaint.

You must not use Songbay for infringement, impersonation, fraudulent AI disclosure, or mass-produced spam uploads. Songbay does not place every AI upload into a routine manual AI review queue, but may restrict visibility, suspend sale or licensing, or remove affected content while investigating a credible rights, impersonation or fraud concern.

Songbay does not promise that an AI-assisted or AI-generated element qualifies for copyright protection or exclusivity in every jurisdiction. AuthentiTrack may provide time-stamped provenance evidence about a creative process, but it does not prove ownership, copyright validity, or the right to use third-party material.

You grant Songbay a non-exclusive, worldwide, royalty-free licence for as long as reasonably needed to host, reproduce, format, display, stream, communicate and promote User Content for operating Songbay and the listing, protection or transaction you request. This licence does not transfer ownership. It ends when the content is removed and no longer reasonably needs to be retained, except for backups, completed transactions, evidence, disputes, legal holds and other lawful retention described in the Privacy Notice.

Songbay may ask for evidence of ownership or authority, decline a submission, restrict its visibility or remove it. Copyright Protection and AuthentiTrack do not create statutory copyright and do not guarantee ownership, validity, enforcement or success in a dispute.

5. Licences, sales and transactions

Before entering a transaction, review the exact work, seller, rights, scope, price, territory, duration, permitted use and transaction-specific contract. You are responsible for deciding whether the transaction meets your needs and for obtaining professional advice where appropriate.

The checkout or transaction contract will identify Songbay’s role and the contracting parties. Songbay does not guarantee that a user is entitled to transact merely because an account or listing exists.

Completed licence, assignment, purchase and sale records may be preserved as immutable evidence. A later profile or account change does not rewrite a completed agreement.

6. Acceptable use

Use Songbay only for legitimate activity connected with songs, lyrics, recordings, creative collaboration and related rights or transactions. Interactive communications must relate to relevant Songbay works or legitimate Songbay business.

You must not use Songbay to:

• break the law or encourage unlawful activity;
• upload, publish or offer content you do not own or have permission to use;
• harass, threaten, deceive, defame or impersonate another person;
• send spam, manipulate reviews or misuse contact and collaboration features;
• commit fraud or arrange deceptive or unauthorised payments;
• collect non-public information, evade access controls, upload malware, probe or disrupt the service; or
• otherwise misuse Songbay in a way that harms users, rights-holders or the proper operation of the service.

Private image sharing and ordinary message-file attachments are not supported. Do not try to bypass that restriction or use external links to send prohibited material.

7. Moderation, removal and account action

Songbay may investigate a suspected breach of these Terms and take proportionate action. This may include asking for information, declining or removing content, limiting contact or features, suspending an account, closing an account, or cancelling a transaction where the law and the relevant contract allow.

Where appropriate, Songbay will explain its decision and provide a reasonable opportunity to ask for a review. Songbay is not required to monitor every communication or item of content.

8. Complaints and appeals

If you believe Songbay has made an error concerning your content, account or use of these Terms, contact Songbay Support. Include the relevant reference, a brief explanation and the outcome you are seeking.

Songbay will review the available information and may correct, vary or uphold its decision. Songbay will reply where reasonably possible, but may withhold information where necessary to protect another person’s privacy, the security of the service or a legal obligation.

9. Prices and payment

Prices, currency, taxes, recurrence and payment timing are shown before purchase. Songbay uses payment providers including Stripe and PayPal. Songbay does not receive or store full card details. Seller payouts may require a PayPal address and other information described before payout.

You are responsible for provider or currency-conversion charges imposed outside Songbay unless applicable law or the transaction terms say otherwise. A failed or reversed payment may result in restriction of the affected paid feature after appropriate notice.

10. Subscriptions, renewal and cancellation

A subscription renews automatically at the frequency and price shown at checkout until cancelled. You may request cancellation through the Account/Close Account route or through Songbay Support.

Cancellation timing and access depend on the subscription and payment provider. Ask Support to confirm the effective date, whether another payment is scheduled, when paid access and public promotion will end, and whether any refund is due.

Closing a Songbay account does not by itself cancel an instruction held by an external payment provider. If a cancellation or payment instruction does not work as expected, contact Support promptly.

Unused upload allowances or entitlements do not roll over unless the product description states otherwise.

11. Consumer cancellation and refunds

Nothing in these Terms excludes mandatory consumer rights. Cancellation and refund rights depend on the product, Songbay’s role, whether the buyer acts as a consumer, and whether supply or performance has begun.

Where a statutory cancellation right applies, you may exercise it by a clear statement through Support or another route stated for the transaction. If you ask Songbay to begin a service or supply digital content during a cancellation period, any charge or loss of the cancellation right will apply only where the request, consent and acknowledgement required by law have been obtained.

Refunds are returned through the original payment method where reasonably possible. Nothing in these Terms removes a remedy for faulty, misdescribed or non-supplied content or services, or any other mandatory right.

12. Account closure and records

You may request account closure through the Account/Close Account route or Support. Account access and public listings may be disabled promptly. Closure, subscription cancellation and deletion of personal information are separate processes.

Songbay retains or deletes information according to its Privacy Policy and applicable law. Records needed for contracts, licences, Copyright Protection, AuthentiTrack, payments, disputes or legal obligations may be kept after an account closes. Removal from backups may take additional time.

13. Privacy and cookies

Songbay processes personal information as described in the current Privacy Policy. Cookie and similar-technology use is described in the current Cookie Policy.

Accepting these Terms is not consent to optional marketing or non-essential cookies. Those choices are handled separately.

14. Service availability and third-party links

Songbay aims to provide a reliable service but does not promise uninterrupted or error-free availability. Maintenance, security events, provider failure and circumstances outside reasonable control may affect access.

Third-party links and services have their own terms and privacy practices. Songbay is not responsible for third-party content merely because a link appears on Songbay, but this does not affect responsibility that cannot lawfully be excluded.

15. Liability

Nothing in these Terms limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory consumer rights.

Subject to that protection, Songbay is responsible for losses that are a foreseeable result of Songbay breaching these Terms or failing to use reasonable care and skill. Songbay is not responsible for unforeseeable loss, a user’s failure to keep reasonable backups, another user’s independent breach, or business loss suffered by a consumer.

If you use Songbay wholly or mainly for business purposes, liability and any applicable cap may also be governed by the product-specific business terms presented before the transaction.

16. User responsibility

You are responsible for losses Songbay reasonably incurs because your intentional or negligent breach of these Terms infringes another person’s rights or causes unlawful content to be published, but only to the extent permitted by law. Songbay will take reasonable steps to mitigate loss and will notify you of a relevant third-party claim where appropriate.

17. Changes to these Terms

Songbay may update these Terms prospectively for legal, safety, security, service or commercial reasons. The current Terms and last-updated date will be displayed.

For a material change affecting existing contractual rights or obligations, Songbay will give proportionate notice and request renewed acceptance where required. Continued public browsing alone will not amount to acceptance where agreement is required. Previous versions remain relevant to completed transactions and prior events.

18. Governing law and disputes

These Terms are governed by the law of England and Wales. If you are a consumer living elsewhere, you retain any mandatory protections and rights to bring proceedings that applicable law gives you.

Please contact Support first so Songbay can try to resolve a complaint. Nothing in these Terms prevents either party using a court or another mandatory redress route.

19. General

If a provision is invalid or unenforceable, the remaining provisions continue. Delay in enforcing a right is not a waiver. Songbay may transfer these Terms as part of a genuine business transfer or restructuring, subject to applicable law and without reducing mandatory rights.

No person other than the parties has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999, except where transaction-specific terms expressly say otherwise.
